Society Corner

The Society would typically comprise of the members and all the rules pertaining to the members. All the details of our society corner are given below:

1. Membership of the Federation shall be open to the following in its area of operation:

  • Wholesale consumers’ cooperative societies/stores.
  • The state Govt. West Bengal.

2. The terms ‘member includes wholesale consumers’ cooperative societies who have joined in the application for registration of the Federation and those who may thereafter be admitted to membership in accordance with the Rules and these bye-laws.

3. Every member except the state Govt. of West Bengal on admission shall pay Rs. 25.00 (Rupees twenty five only) as admission fee and hold at least ten shares.

4. Application for admission as a member shall be made to the Executive Officer/Chief Executive Officer in the form, if any prescribed for this purpose. Every wholesale consumers’ cooperative society/store or person qualified for membership of the Federation, in accordance with the bye laws shall on application, be admitted to membership of the Federation by the Board of Directors, provided that W/S shall be open to the Board of Directors to refuse admission to any applicant for good and sufficient reason to be recorded in written and communicate to the applicant within two months from the receipt of the application. An applicant who is refused admission or to whom the decision of the Board of Directors has not been communicated within a period of two months from the date of the application shall have a right of appeal to the Registrar whose decision shall be binding on the Federation.

5. A wholesale consumer’ Cooperative society shall not acquire the rights and privileges of membership until it has paid admission fee and the initial payment.

6. An affiliated society may, by a resolution of its Board of Directors authorize one of its members not disqualified under the law to act as its representative and the member so authorized shall be entitled to exercise the same powers on behalf of the society which he represents as that society could exercise as a member of the Federation.

7. Membership to the Federation shall cease:

  • On cancellation of registration of a member society or losing qualification for membership
  • If the member society resolves to disaffiliate itself, provided that such resolution is communicated in writing to the Federation and is accepted by its Board of Directors
  • If a member transfers all the shares held by it to another member wholesale consumers’ cooperative society/store or ceases to hold the minimum number of shares prescribed in the bylaw No. 8 subject to the condition that the transfer shall not be operative unless it is sanctioned by the Board of Directors of the Federation
  • If a member society is expelled for defaults in the payment of instalments of the shares for the consecutive, instalment unless the Board of Directors otherwise directs

8. A member society may be fined, suspended or expelled if it persistently defaults or fails to carry out its obligations to the state Federation deliberately commits serious breach of the rules or bye-laws, wilfully deceives the Federation by false or fictitious statements and documents or does any act which is, likely to be injurious to the credit, reputation or stability of the Federation. Before such imposition of fine, suspension or expulsion, the member society concerned shall be given an opportunity to explain the position and if the Board of Directors of the state Federation rejects the explanation, the aggrieved member society shall have the right of appeal to the immediate next general meeting on receiving such communication of the rejection of the explanation and if the general meeting rejects the appeal the aggrieved member may appeal to the Registrar within one month from the date of communication of the rejection of the appeal by the general meeting and the decision of the Registrar shall be binding on the Federation and the aggrieved member.

9. A member on withdrawal whether voluntarily or through action of the Federation, shall, subject to the rules of the state Federation, have no claim on the Reserve fund or any other funds or property of the Federation.

10. The liability of the members for any deficit in the assets of the Federation on liquidation shall be limited to the face value of their subscribed shares.

11. The funds of the Federation may be raised by one or more of the following modes:

  • Issuing shares
  • Taking annual subscriptions or contributions or deposits from members
  • Taking loans and advances from Government, Co-operative Financing Agencies, the State Bank of India and other Nationalised Banks and other reputed Banks having license from Reserve Bank of India competent for the purpose
  • Taking grants, subsidies from Government and recognising organisations
  • To raise funds from non-members for the purpose of allotment sell of houses/flats/apartments constructed by the Federation
  • The funds of the Federation, where not employed in its business, shall be deposited unless otherwise permitted by the Registrar with the West Bengal State Co-operative Bank Ltd.
